About the role

We are searching for a Senior Legal Counsel – M&A to join our corporate legal function on a 12-month fixed term contract. Reporting to the General Counsel – Corporate, the successful candidate will be a member of a dynamic and geographically diverse global legal team and partner with our Development Team on possible mergers, acquisitions, joint ventures and divestments and other corporate transactions.
In this highly visible and critical role, you will be responsible for negotiating and closing complex transactions, reviewing due diligence materials to identify potential risks and value drivers, engaging in and leading due diligence activities, and assisting with the preparation of internal investment assessments.
To be successful in this role, you will bring a background in mergers and acquisitions from either a top tier law firm or blue chip organisation, and have strong commercial acumen, emotional intelligence, numeracy and a range of negotiating skills adaptable for a variety of circumstances. This is a key role within our global legal team, where exceptional communication, organisational and influencing skills and the ability to perform in a dynamic, fast paced environment will see you thrive.

What you will be doing

•Managing legal matters impacting the Development Team relevant to Orica’s M&A portfolio
•Drafting, reviewing, and negotiating a wide array of transaction documentation
•Monitoring and advising on relevant regulatory requirements to manage exposure to legal risks and liabilities
•Developing and maintaining strong working relationships with your stakeholders throughout the business
•Assisting the General Counsel – Corporate on general corporate legal matters
•Assisting Orica in its compliance with applicable laws and regulations

What you will bring

•Relevant tertiary qualification in Law
•A minimum of eight (8) years post-qualification experience in mergers & acquisitions, preferably on a global basis and through a combination of private practice (top tier) and inhouse (blue chip) experience
•A comprehensive understanding of undertaking and executing transactions
•Experience and expertise in negotiating and drafting transaction documentation
•Experience with advising executive committees and boards
•Superior written and verbal communication skills
•The ability to influence at all levels of an organisation
•An interest in working on a cross-functional basis
•High emotional intelligence with a proactive, can do, and collaborative approach to work
