Our client, a leading fixed income fund manager with over $5bil FUM, is seeking to appoint an in-house legal counsel and company secretary to join their rapidly growing business. The successful candidate will be responsible for meeting the business's growing Australian domestic and UK-based legal, regulatory and compliance requirements, company secretarial duties, reviewing/drafting contracts, fund collateral documentation, and providing legal advice to internal stakeholders. Key Responsibilities: • Reviewing and negotiating contracts, including investment management agreements and other engagement letters.• Oversight of risk & compliance, regulatory requirements and filings in Australia, the United Kingdom and the United States.• Working with the Chief Risk Officer on the firm’s risk & compliance and regulatory framework, compliance policies, procedures, monitoring program and trade counterparty onboardings.• Assist with company secretarial matters, including preparing board agendas, minutes and board packs.• Responsible for the group’s reporting to ASIC for AFSL and other requirements.• Liaising with internal risk team and external lawyers and advisers. The successful candidate will possess the following:• A minimum of +2PQE legal experience in funds management from a reputable law firm and/or in-house experience, with current Practising Certificate;• Demonstrated and strong knowledge of the obligations of the Australian Financial Services License Holders; • Strong knowledge of recent legislative and regulatory changes within the Financial Services law regime and frameworks;• Ability to clearly and efficiently communicate in writing with both internal company representatives and external parties; • Knowledge of the Australian, United Kingdom and United States investment regulatory regime is preferred;• Highly effective analytical, decision-making, and written/verbal communication skills.• Highly motivated, organized, and able to set priorities effectively. • Ability to work autonomously and in a team environment.A competitive salary package will be offered to the successful candidate.Aboriginal and Torres Strait Islander Peoples are encouraged to apply.
